Terms of service
Last updated: [date of publication]
These terms are an agreement between you and Jenblat Inc for the use of QuoteToYes. By signing in you accept them.
The service
QuoteToYes lets you build proposals, share them through a private link, track how recipients engage with them, and collect electronic signatures. It is free. Footer removal is an optional paid subscription.
Your account
You sign in with Google. You are responsible for activity on your account and your team. Admins can add and remove members and see all proposals in the account. Members see their own proposals.
Your content
You own what you put in your proposals. You give us permission to host, display and process it only to run the service. You confirm you have the rights to the content and that it is lawful and accurate.
How we use aggregate data
We combine anonymized, aggregate patterns across all accounts to improve the product for everyone, for example to suggest defaults that tend to close. We never show one account's proposals, clients or numbers to another account.
Electronic signatures
Signatures made here are intended to meet the US ESIGN Act and the Uniform Electronic Transactions Act, and the basic electronic signature standard in the EU (eIDAS Article 25), the UK, Canada and Australia, for ordinary business contracts. You are responsible for deciding whether an electronic signature is right for your document.
You may not use the service to sign:
- wills, codicils and testamentary trusts
- documents about adoption, divorce or other family law matters
- court orders, notices and official court documents
- notices of utility service cancellation or termination
- notices of default, acceleration, repossession, foreclosure or eviction for a primary residence
- notices of cancellation or termination of health or life insurance
- product recall or material failure notices
- documents required to accompany the transport of hazardous materials
- any other document the law requires to be signed on paper
The editor shows a warning when a proposal looks like one of these. The warning is a courtesy, not legal advice.
Consumers. If the signer is a consumer, you must mark the proposal as a consumer proposal so the required disclosures are shown and consent is captured.
Acceptable use
Do not use the service for spam, phishing, fraud, malware, harassment or anything illegal. Do not try to break, overload or reverse engineer it. Custom CSS is allowed; custom JavaScript is not. We may warn, limit, suspend or close accounts that break these rules, and take their proposal links offline.
Footer and referrals
Free proposals show a footer with your referral link. Referral perks are described in the app and may change. Footer removal costs $29 a month per account plus applicable tax, billed through Stripe, and you can cancel any time. Cancelling stops future charges; we do not refund partial months.
Exclusive custom features
If we agree to build a feature exclusively for your account, the price and terms will be in a separate quote. If we later make the same feature available to everyone, your monthly fee for it ends.
Availability and changes
We work to keep the service fast and available but do not guarantee it. We may change features. We will give notice of material changes to these terms.
Disclaimers and liability
The service is provided as is. To the extent the law allows, Jenblat Inc is not liable for indirect or consequential damages, and our total liability is limited to the greater of $100 or what you paid us in the 12 months before the claim.
Ending
You can delete your account at any time. Signed agreements are kept so every party can still prove what was signed.
Law
These terms are governed by the laws of [state], USA. [Dispute resolution clause to be set by counsel.]
