Data processing addendum (template)

This addendum applies when a business customer ("Customer") uses QuoteToYes to process personal data of its clients, and Jenblat Inc ("Processor") processes that data on the Customer's behalf.

1. Roles

Customer is the controller of personal data in its proposals and recipient activity. Jenblat Inc is the processor. For aggregate, anonymized product statistics, Jenblat Inc acts on its own behalf; those statistics do not identify any person or customer.

2. Instructions

Processor processes personal data only to provide the service, as described in the terms, and on Customer's documented instructions.

3. Confidentiality and security

Processor ensures its personnel are bound by confidentiality and maintains appropriate technical and organizational measures, including encryption in transit and at rest, access control and backups.

4. Subprocessors

Customer authorizes the subprocessors listed at /subprocessors. Processor will give notice of changes and Customer may object on reasonable grounds.

5. Data subject requests

Processor will help Customer respond to requests from individuals to access, correct, delete or export their data.

6. Breach notice

Processor will notify Customer without undue delay, and within 72 hours where required, after becoming aware of a personal data breach affecting Customer data.

7. International transfers

Where personal data from the EU, EEA, UK or Switzerland is transferred to the United States, the parties rely on the Standard Contractual Clauses (and the UK Addendum where relevant), which are incorporated by reference. [Counsel to attach modules and annexes.]

8. Deletion

On termination, Processor deletes Customer personal data within 90 days, except signed agreements and audit records that must be kept so every signing party can prove what was signed, and data the law requires Processor to keep.

9. Audits

Processor will make available information reasonably needed to show compliance with this addendum.
